Information sharing to subcontractors in support services, such as customer service is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Terms & Conditions for Agreement of Services Provided

This Agreement

("Agreement") is made and entered into by and between

Auguste Pool Service (APS) a Swimming Pool & Jacuzzi Maintenance, Repair and cleaning services solution located in the state of New York, ("Service Provider," "We," or "Auguste Pool Service (APS)") and the undersigned client ("Client," "You," or "Your") (collectively, the "Parties"). This Agreement is effective as of the date the Client signs below and serves as the governing contract for all services provided by Auguste Pool Service (APS).

WHEREAS Auguste Pool Service (APS) is a business offering Swimming Pool & Jacuzzi Maintenance, Repair and cleaning services, and related support services to residents of the United States; and

WHEREAS

, the Client desires to engage Auguste Pool Service (APS) to provide such services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE

, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

Auguste Pool Service (APS) agrees to provide the following services to the Client:

Swimming Pool &/or Jacuzzi Maintenance, Repair and cleaning services.

1. Services Provide

Any additional services outlined in the Client's selected plan or custom service agreement.

The scope of services provided will be discussed and agreed upon in the Client's specific Service Plan.

This Agreement shall commence on the date it is signed by the Client and shall continue on a month-to-month basis unless otherwise terminated by either Party.

Either Party may terminate this Agreement by providing 30 days' written notice to the other Party.

Auguste Pool Service (APS) reserves the right to terminate this Agreement immediately for cause if the Client breaches any of the terms outlined herein.

The Client agrees to pay Something New Destinations the agreed-upon service fees as outlined in the reservation confirmation. Payments shall be made on a monthly basis, or according to the specific payment schedule outlined.

All payments are due on or before the due date. If payment is not received by the due date,

Auguste Pool Service (APS) and the Supplier(s) reserves the right to cancel the reservation.

In the event of non-payment cancellation, the Client will be responsible for all reasonable collection costs, including legal fees.

The Client agrees to provide all necessary information, access, and resources required for Auguste Pool Service (APS) to perform the services outlined in this Agreement.

The Client agrees to communicate promptly and in a professional manner, and to ensure that all materials, content, and information shared with Something New Destinations are accurate and legal.

The Client agrees to cooperate with Something New Destinations in a timely manner to facilitate the delivery of services.

Auguste Pool Service (APS) agrees to maintain the confidentiality of all proprietary information, data, and materials provided by the Client. The Client’s sensitive information will not be disclosed to any third party without the Client’s prior written consent.5

The Client acknowledges that Auguste Pool Service (APS) may be

-required to disclose certain information if legally compelled to do so under applicable laws.

6. Intellectual Property

Any content created by Auguste Pool Service (APS) in the course of providing services, including but not limited to social media posts, graphics, and strategies, remains the intellectual property of Auguste Pool Service (APS).

Upon receipt of full payment, the Client will obtain ownership rights to the deliverables created by Auguste Pool Services(APS).

7. Limitation of Auguste Pool Service (APS) will not be liable for any indirect, incidental, special, or consequential damages arising from the use of services, even if BeeVirtual Suite has been advised of the possibility of such damages.

The maximum liability of Auguste Pool Service (APS) under this Agreement will not exceed the total fees paid by the Client in the six months immediately preceding the date of the claim.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding under this Agreement shall be brought exclusively in the courts located in Irondequoit, New York.

Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, understandings, or representations, whether written or oral, concerning the subject matter hereof. Any amendments or modifications must be in writing and signed by both Parties.

By accessing or using our virtual suite of services, you agree to be bound by these Terms of Conditions. If you disagree with any part of the terms, then you may not access the services. The Client acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Declaration of Agreement with Auguste Pool Service.
